• Platform refers to the EBEPEXPRESS® digital marketplace connecting shippers and logistics operators.
• User refers to any individual or entity accessing the Platform.
• Shipper refers to users requesting logistics, transport, shipping, or related services.
• Operator refers to logistics providers, carriers, couriers, freight companies, 3PLs, or logistics platforms offering services.
• Services refers to marketplace functionality, including quote requests, offers, subscriptions, and communication tools.
• Subscription refers to any paid or free plan granting access to specific Platform features.
• Lead refers to a shipping request or quote opportunity made available to Operators.

2. Marketplace Nature and Role of EBEPEXPRESS®

EBEPEXPRESS® operates as a neutral digital marketplace.

• We do not provide transport, shipping, or logistics services.
• We do not act as an agent, carrier, broker, or freight forwarder.
• Contracts for logistics services are formed directly between Shippers and Operators.
• EBEPEXPRESS® is not responsible for service execution, delivery performance, pricing, or disputes arising from shipments.

3. Eligibility and Account Registration

3.1 Eligibility

Users must:

• Be at least 18 years old
• Have legal capacity to enter into contracts
• Provide accurate and truthful information

3.2 Account Creation

Users are responsible for:

• Maintaining account confidentiality
• All activity performed under their account
• Updating information when necessary

EBEPEXPRESS® reserves the right to suspend or terminate accounts for violations.

4. User Roles and Responsibilities

4.1 Shippers

Shippers agree to:

• Provide accurate shipping information
• Use the Platform for legitimate logistics needs
• Respect Operators and marketplace rules
• Independently evaluate offers received

4.2 Operators

Operators agree to:

• Provide accurate company and service information
• Respond professionally to shipping requests
• Honor offers submitted through the Platform
• Comply with applicable transport laws and regulations
• Maintain required licenses, insurance, and authorizations

5. Quotes, Leads, and Communications

• Shippers may submit shipping requests and receive offers.
• Operators may access leads depending on their subscription level.
• EBEPEXPRESS® does not guarantee:
  • Lead volume
  • Conversion rates
  • Revenue outcomes
• Communication tools are provided for facilitation only.

6. Subscriptions, Pricing, and Payments

6.1 Subscription Plans

• Certain features require paid subscriptions.
• Subscription benefits, pricing, and limitations are defined on the Platform.
• Free plans may have restricted access.

6.2 Billing

• Subscriptions are billed monthly or annually.
• Fees are non-refundable unless otherwise stated.
• Prices may change with prior notice.

6.3 Payment Processing

Payments are handled by third-party providers. EBEPEXPRESS® does not store full payment card data.

7. Promotions and Discount Codes

• Promotional offers are subject to specific conditions.
• Promo codes may have usage limits, expiration dates, or eligibility restrictions.
• EBEPEXPRESS® may modify or revoke promotions at any time.

8. Platform Availability and Modifications

• The Platform is provided "as is" and "as available".
• We may update, modify, suspend, or discontinue features at any time.
• Temporary interruptions may occur for maintenance or technical reasons.

9. Prohibited Uses

Users must not:

• Provide false or misleading information
• Use the Platform for unlawful purposes
• Circumvent subscription limitations
• Harvest data or scrape content
• Interfere with platform security or performance
• Abuse or harass other users

Violations may result in suspension or termination.

10. Intellectual Property

• All Platform content, software, and trademarks are owned by EBEPEXPRESS® or its licensors.
• Users receive a limited, non-exclusive, non-transferable right to use the Platform.
• No rights are granted beyond those expressly stated.

11. Data Protection and Privacy

Personal data is processed in accordance with our Privacy Policy, which forms an integral part of these Terms.

12. Disclaimers

• EBEPEXPRESS® does not guarantee shipment outcomes.
• We are not responsible for:
  • Delays
  • Loss or damage of goods
  • Contract breaches between Users
• Users assume full responsibility for their commercial decisions.

13. Limitation of Liability

To the maximum extent permitted by law:

• EBEPEXPRESS® shall not be liable for indirect, incidental, or consequential damages.
• Total liability shall not exceed the amount paid by the User in the preceding 12 months.

14. Indemnification

Users agree to indemnify and hold harmless EBEPEXPRESS® from claims, damages, or losses arising from:

• Use of the Platform
• Breach of these Terms
• Violation of laws or third-party rights

15. Termination

• Users may close their account at any time.
• EBEPEXPRESS® may suspend or terminate accounts for violations or legal reasons.
• Termination does not affect accrued obligations.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the European Union and applicable local laws.

Jurisdiction shall be determined based on the applicable EBEPEXPRESS® entity.

17. Changes to the Terms

We may update these Terms periodically. Continued use of the Platform constitutes acceptance of the updated Terms.
